Context / Objectives
The Seller, a leading French listed Digital Communication Group , aims at re-focusing on its local market expansion and is seeking to sell its subsidiary based in Spain.
Several actors from direct competitors to private equity were identified as potential buyers.
Mission
Our client is searching for industry experts having a strong M&A and operational background to support the shareholders, management team, and operational teams in the selling process. The work has been articulated around 5 areas:
- VDD / Data room:
- Legal, tax, commercial and financial risk management based on VDD items to follow and new items identified during the selling process;
- Coordinate data collection and data room documentations update;
- Financial planning: alongside management teams work on several scenarios to present to buyer illustrating existing leverage, synergies and top and bottom lines growth potential,
- Business continuity: ensure continuity of the business operations during the process and after the deal is concluded (arrange HR, legal and commercial contract transfer or implement alternative actions, etc.)
- Vendor´s presentation to buyer: prepare and present the vendor´s presentation alongside shareholders and local management team.
