Context / Objectives
Our client, an international branding agency part of a major Marketing & Communication Group, has decided to review its core offering, its go-to market strategy and its international footprint.
Its growth strategy is based on less but bigger offices. Our client wants to create larger offices (“centers of gravity”) which will attract better talent, foster innovation, improve work quality, grow existing clients relationship and generate new and bigger opportunities.
As part of this strategy they have decided to close one office in each of the regions (North America, Europe & APAC)
Mission
Dissolution & Liquidation of the French entity
On behalf of the nominated liquidator, complete all works related to the dissolution and liquidation of the French entity.
Day-to-day management of the operations including but not limited to:
- Clear the statutory account Balance sheet including:
- Management of the last invoicing and collection of all outstanding amount
- Payment of all suppliers & closing of suppliers contract
- Clearing of all company taxes (VAT, Corporate tax, employment taxes..)
- Sale of all tangible assets
- Settle litigations cases and claims (clients, employees)
- Coordinate all legal process up to the final assembly which will vote the liquidation and its publication.
- Manage monthly financial reporting to mother company during liquidation process
- Produce tax return and liquidation accounts.
Results
Successful liquidation of the company according to planning.
